Terms of Service

These Terms of Service are a binding agreement between you and Solart ("we", "us") governing your use of the Solart website, applications and all related services (the "Service"). Please read them carefully before using the Service.

1. Acceptance of terms

• By creating an account, signing in, purchasing credits or using any part of the Service, you confirm that you have read, understood and agree to be bound by these Terms and the Privacy Policy. Acceptance by electronic means has the same legal effect as a written contract.
• When signing in or signing up, you must tick the box to accept the Terms of Service and Privacy Policy. We record the time of your acceptance as evidence of this agreement.
• If you do not agree with any of these terms, you may not use the Service.
• If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

2. Definitions

• "Account": the account you register to use the Service.
• "Credits": the internal unit used to pay for generations and paid features within the Service.
• "Input": prompts, template inputs, reference images and any other data you submit to the Service.
• "Output": images, videos, text or other content generated from your Input.
• "Templates": the image and video templates in the Template library, including their prompts, structure and settings.
• "Model providers": third parties that provide the AI models the Service uses to generate Output.

3. Eligibility

• You must be at least 18 years old, or at least 16 and under 18 with the consent of a parent or legal guardian. People under 16 may not use the Service.
• You are not barred from using the Service under applicable law and have not previously had an Account terminated by us for a violation.
• You agree that all information you provide to us is accurate, complete and kept up to date.

4. Accounts and security

• You sign in with a code sent to your email or with your Google account. Each person may own and use only one Account.
• You are responsible for securing your email inbox, Google account and the devices you sign in with, and for all activity on your Account, including activity by others if your sign-in details are exposed.
• You must notify us at [email protected] immediately if you discover unauthorized access to your Account. We are not liable for losses incurred before we receive your notice or caused by your failure to keep your sign-in details secure.
• Your Account is personal. You may not sell, rent, transfer or share your Account or credits with anyone else.

5. Credits

• Credits can only be used within the Service. Credits are not money or a means of payment, bear no interest, cannot be exchanged for cash and cannot be transferred between Accounts.
• The credit cost of each generation depends on the model, resolution, duration and other options, and is always shown on the Generate button before you confirm. Credits are deducted as soon as you hit Generate.
• We may change the credit cost of any model, feature or credit pack at any time. New costs apply to generations made after the change and do not affect your existing credit balance.
• Bonus credits (signup bonuses, pack bonuses, promotions or compensation) may carry their own conditions and expiry, and will be revoked if obtained through fraud, abuse or a violation of these Terms.
• Credits added in error due to a system, reconciliation or operator error will be corrected without your prior consent.
• We may introduce an expiry period for future credit purchases. Any expiry is announced on the Top up page before you pay and does not apply to credits purchased earlier.
• Any remaining credits are forfeited when your Account is deleted or terminated for a violation.

6. Purchasing credits and payment

• Credit packs and prices are listed in VND on the Top up page. Prices may change, but an order you have created keeps its price while its payment code is valid.
• Payment is made by bank transfer via VietQR. You must transfer the exact amount and keep the order's transfer description unchanged. Credits are added once the system records the matching payment.
• Orders are only processed automatically when the transfer matches the order code and amount. For transfers with the wrong amount, a wrong or missing description, after the code has expired, or duplicated, you must contact [email protected] within 30 days of the transfer with the order code and receipt. After reconciliation, we will decide whether to add credits matching the amount actually received or to return the funds to the source account less any transaction fees. Requests made after this period may not be resolved.
• We are not liable for delays in adding credits caused by banks, interbank payment systems or incorrect transfer details on your side.
• You warrant that the funds you use are lawful and that you are entitled to use them. If we detect signs of fraud, money laundering, unauthorized use of someone else's bank account, or unjustified chargebacks or refund claims, we may hold, refuse or revoke credits, lock your Account and cooperate with banks and the authorities.

7. Credit and payment refunds

• Credits are refunded automatically when a generation fails due to a system error, model overload or a rejection by the Model provider.
• A generation that returns Output is considered complete and is not refunded, even if the Output is not what you expected, because the AI model has actually processed your request.
• Purchased credits are not refundable for cash, except for overpaid, duplicated or unmatched transfers under Section 6, or where required by law. Any cash refund only covers unused purchased credits, excludes bonus credits, and is paid to the source bank account.
• Bonus credits are never exchangeable or refundable for cash.

8. AI prompt enhancement

• The prompt enhancer rewrites your description into a more detailed prompt for generating images or videos. It serves this purpose only, and any other request, such as chatting, answering questions, writing code or translating, is rejected.
• The free option has a daily limit. Requests rejected because they are not a description of an image or video still count toward the limit.
• Paid options deduct the credits shown on the button. Credits are refunded if the enhancement fails or is rejected.
• Enhanced prompts are AI-generated and may be inaccurate. You are responsible for reviewing them before use.

9. Your Input

• You retain all rights to your Input.
• You warrant that you hold all necessary rights to your Input, including copyright and trademark rights, and that you have the consent of every person whose likeness, voice or personal information appears in it. You may only upload photos of another person's face with that person's consent, or the consent of their parent or guardian if they are a child.
• You grant Solart a non-exclusive, royalty-free, worldwide license to store, copy, process, convert and transmit your Input to Model providers in order to operate, secure and support the Service for you.
• You are solely responsible for your Input and any legal consequences arising from it.

10. AI-generated Output

• To the extent permitted by law and the Model providers' terms, we claim no ownership of your Output. You may use your Output for personal and commercial purposes.
• We do not guarantee that Output is protected by copyright, is unique, or is not identical or similar to output created by others. Other users may generate similar output from similar descriptions.
• AI may produce inaccurate content, flawed details (text, hands, logos, faces) or content that unintentionally resembles existing works, trademarks or real people. You are responsible for reviewing Output and ensuring it does not infringe third-party rights before using, publishing or commercializing it, and you are solely responsible for that use.
• You may not present Output as a real photograph or video in a misleading way, and you must label AI-generated content where required by law or by the platform you publish on.

11. Prohibited content

You may not use the Service to create, upload, store or share content that:

• Violates the laws of Vietnam or of the place where you use the Service, harms national security or public order, or distorts history.
• Sexualizes children or people who appear to be children, in any form.
• Is pornographic or obscene, or depicts real people in sexual or nude content, including face swaps (deepfakes), without their consent.
• Depicts extreme violence, terrorism or self-harm, or gives instructions for making weapons, explosives or illegal drugs or for committing crimes.
• Incites hatred or discrimination based on ethnicity, religion, gender, disability or other characteristics, or harasses, threatens, bullies or humiliates others.
• Impersonates individuals, organizations or government bodies; forges documents, records, invoices or currency; spreads disinformation; or aims to defraud people or manipulate public opinion.
• Infringes copyright, trademarks, image rights, honor, dignity, reputation or privacy of others.
• Contains malware, spam or unauthorized advertising.

We and the Model providers may automatically filter, reject or block requests that appear to violate these rules. Deliberately repeating violating requests may lead to your Account being locked.

12. Privacy and likeness of others

You may only upload, describe or generate images or videos of an identifiable person with that person's explicit consent for that specific use. For people under 16, the consent of a parent or guardian is required.

You may not use the Service to:

• Create pornographic, nude, sensitive or humiliating content of real people.
• Face-swap or fake the likeness of real people (deepfakes) to deceive, defame, extort, harass or impersonate.
• Depict celebrities, politicians or anyone else endorsing products, statements or events they were not part of.
• Collect, infer or disclose other people's personal information such as identity, address, phone number, identity documents or health; or track, identify or locate people from photos.
• Include other people's identity documents, bank cards, medical records or sensitive personal data in your Input.

When you put another person's personal data into the Service, you are responsible for obtaining their consent and for the lawfulness of processing that data. You bear all liability and will indemnify us if that person makes a claim.

People whose likeness or information is used without permission on the Service may request removal at [email protected]. We may remove the content without the Account owner's consent, lock the violating Account and provide information to competent authorities as required by law.

13. Copyright and infringement claims

• You may only use as Input works, images, logos, characters and designs that you own or are licensed to use. You may not upload other people's photos, artwork, product images or images from films, comics or games to copy, edit or create derivative works without permission.
• You may not use the Service to reproduce copyrighted characters, logos, trademarks, packaging or works, or to imitate a specific creator's style in order to pass off, cause confusion about origin or substitute for their work.
• You may not remove, obscure or alter watermarks, signatures or rights management information on other people's works.
• You are responsible for checking Output before commercial use or registering trademarks, designs or copyrights.

Infringement claim process:

• Rights holders or their authorized agents may send a notice to [email protected] including: contact details; a description of the work or right infringed with proof of ownership; a link or description sufficient to locate the infringing content on the Service; and a statement that the information is accurate and the sender is entitled to make the claim.
• Upon a valid notice, we may remove or disable access to the content immediately without waiting for the poster's response, and will notify the poster where appropriate.
• A poster who believes content was removed by mistake may respond with proof of their right to use it. We will review and decide whether to restore it.
• Accounts with repeated or serious copyright infringement will be permanently terminated.
• Anyone who submits a false claim or a claim intended for unfair competition is liable for the resulting damages.

14. Prohibited conduct

• Accessing the Service with bots, scripts, automated tools or interfaces we do not provide, or scraping or crawling the Service.
• Probing, extracting, copying or attempting to reverse engineer the prompts, structure or settings of Templates or the system instructions of AI features.
• Attacking, scanning for vulnerabilities in, or circumventing the limits or security, authentication, payment or credit mechanisms of the Service, or disrupting or overloading its systems.
• Creating multiple Accounts or using disposable emails or false information to obtain bonus credits or promotions, or abusing promotional programs.
• Exploiting bugs in the Service for gain instead of reporting them to us.
• Reselling, renting or providing the Service or access to it to third parties, or using the Service to build a competing product, without our written consent.
• Filing false chargebacks or payment disputes.

15. Sharing to Community

• Output only appears in Community when you choose to share it. Shared Output is displayed publicly with your display name, and with its prompt if it was created in custom prompt mode.
• By sharing, you grant Solart a non-exclusive, royalty-free, worldwide license to store, display, copy, resize, reformat and distribute that Output on the Service and on Solart's official channels to showcase and promote the Service. This license ends when you stop sharing, except for promotional content already published before then.
• Others may view it, learn from the prompt and create similar content. We are not responsible for others copying, downloading or using content you have made public.
• We may hide, remove or refuse to display any content in Community at our sole discretion, without notice or explanation.

16. Solart's intellectual property

• The Service, including its software, interface, brand, logos, domain names, Templates, template prompts, system instructions, databases and guides, is owned or lawfully licensed by Solart and protected by intellectual property law.
• We grant you a limited, non-exclusive, non-transferable and revocable right to use the Service solely to generate Output for yourself under these Terms. All rights not expressly granted are reserved by us.
• Using a Template to generate Output does not transfer to you any rights in the Template's prompts or settings.
• We may freely use any feedback or suggestions you send us without payment or attribution.

17. Third-party services

• The Service relies on Model providers and other third-party services such as Google sign-in, cloud storage, email delivery and banks. Your use of those models and services is also subject to their providers' terms.
• We do not control and are not responsible for the availability, quality, content policies or changes of third parties. Models may be changed, suspended or removed at any time, and your credits remain usable with other models.

18. Storage and deletion

• Output files and uploaded photos are kept for 3 days from creation and then permanently deleted. Output shared to Community is kept until you stop sharing it or we remove it.
• Output you delete is moved to Trash and can only be restored for a limited time before it is permanently deleted.
• The Service is not a storage or backup service. You are responsible for downloading and backing up any Output you want to keep. We are not liable for loss of Output or Input after the storage period, after you delete it, or due to technical incidents.
• The storage period may change and will be announced on the Service before taking effect.

19. Changes to and interruptions of the Service

• The Service is provided on an as-available basis. We may add, change, suspend or discontinue any feature, model, Template or credit pack at any time.
• The Service may be interrupted for maintenance or upgrades, or due to incidents affecting Model providers, infrastructure or networks. We do not guarantee that the Service will be uninterrupted or error-free, and we do not compensate for downtime.
• New or experimental features, such as selling Templates or earning commissions from sharing, may come with separate terms announced at launch. Those terms take precedence for that feature.
• If we permanently shut down the Service, we will announce it on the Service at least 30 days in advance so you can use your credits and download your Output.

20. Suspension and termination

• You may stop using the Service and delete your Account at any time in Account > Security. Deletion takes effect immediately, cannot be undone, and remaining credits are not refunded.
• We may, at our discretion and without prior notice, warn you, limit features, suspend or terminate your Account, revoke bonus credits, remove content and refuse service if: you violate these Terms or the law; there are signs of fraud, abuse or security risk; a competent authority requires it; or continuing to provide the Service could harm us, other users or third parties.
• An Account terminated for a violation forfeits all remaining credits, including purchased credits, without refund. You may not create a new Account to continue using the Service.
• The provisions on credits, intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution survive termination of your Account.

21. Disclaimer of warranties

To the maximum extent permitted by law, the Service and Output are provided "as is" and "as available". We make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, reliability, quality or lawfulness of Output, or that Output does not infringe third-party rights.

22. Limitation of liability

• To the maximum extent permitted by law, Solart and its owners, staff and partners are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or business opportunities, arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages.
• Our total liability for all claims related to the Service will not exceed the amount you actually paid to Solart in the 3 months immediately preceding the event giving rise to the claim.
• These limits do not apply where the law does not permit liability to be excluded or limited.

23. Indemnification

You agree to indemnify and hold harmless Solart and its owners, staff and partners from any claims, demands, damages, losses and costs, including reasonable attorneys' fees, arising from: your Input or Output; your use of Output; your violation of these Terms or the law; or your infringement of any third party's rights.

24. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, strikes, internet or undersea cable outages, power failures, cyberattacks, incidents or policy changes at Model providers, banks or infrastructure providers, or government decisions.

25. Changes to these Terms

• We may update these Terms. The date of the latest update is shown at the top of this page.
• For material changes affecting your rights, we will notify you on the Service before the change takes effect. Other changes take effect once posted on this page.
• By continuing to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, you must stop using the Service and may delete your Account.

26. Governing law and disputes

• These Terms are governed by and construed in accordance with the laws of Vietnam.
• Any dispute shall first be resolved through negotiation. Send your complaint with a description and evidence to [email protected]. The parties have 30 days from our receipt of the complaint to negotiate.
• If negotiation fails, the dispute shall be resolved by a competent court in Vietnam.
• Complaints about a transaction or generation must be submitted within 30 days of the event, unless the law provides a longer period.

27. General

• These Terms, the Privacy Policy and any separate terms form the entire agreement between you and Solart regarding the Service and supersede all prior agreements.
• If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions remain in full effect.
• Our failure to exercise a right does not waive that right.
• You may not assign your rights or obligations under these Terms without our written consent. We may assign them in connection with a merger, acquisition, restructuring or transfer of the Service.
• Our notices are delivered through the Service, by in-app notification or by posting on this page, and are deemed received once posted.
• If the language versions differ, the Vietnamese version prevails.
